Terms of Service

1. Who we are
Aurex ERP is an online jewellery business management platform operated by Avatar Technologies ("Avatar", "we", "us", "our"), a business with its registered office at F7, Savitri Arcade, Karwar, Karnataka 581301, India.
These Terms of Service (the "Terms") govern your access to and use of the Aurex ERP web application, our website at https://aurexerp.com, and any related services we provide (together, the "Service"). By signing up, accessing, or using the Service you agree to these Terms. If you don't agree, please don't use the Service.
2. The accounts we offer
2.1 Tenant accounts
Each jewellery business signs up for its own tenant ("Workspace"). The first person to sign up becomes the Workspace Owner. The Owner can invite other users and assign them roles (Admin, Manager, Cashier, etc.) with different permissions.
2.2 You are responsible for your Workspace
You are responsible for:
- Keeping login credentials secure and not sharing them.
- Everything users in your Workspace do with the Service.
- Making sure the people you invite have the right to access the data you put in.
- Making sure your use of the Service complies with the laws that apply to your business — including BIS hallmarking rules, GST law, and any state-specific jeweller licensing.
2.3 Eligibility
You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction. If you sign up on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Free trial
New Workspaces get a 7-day free trial with all paid features unlocked. No credit card is required to start the trial. At the end of the trial period:
- If you have selected a paid plan, you'll be billed for the first annual term.
- If you haven't selected a plan, your Workspace will move to a read-only state until you do — your data will not be deleted during this period (see Section 9).
4. Subscription, billing & taxes
4.1 Plans and pricing
We offer multiple plans (Starter, Growth, Enterprise, Custom). Plan prices, included users, and modules are listed at https://aurexerp.com/pricing. We reserve the right to change plan pricing with at least 30 days' notice; changes will not affect any term you've already paid for.
4.2 Annual billing
Subscriptions are billed annually in advance, in Indian Rupees (₹), exclusive of applicable taxes. Goods and Services Tax (GST) is added at the rate prescribed by Indian law (currently 18% for SaaS under HSN/SAC 998313).
4.3 Auto-renewal
Unless cancelled, paid subscriptions renew automatically for successive one-year terms at the then-current price. We'll send a renewal reminder to your billing email before renewal. Cancel anytime from Settings → Subscription before the renewal date.
4.4 Late payment
If a payment fails or is not made within seven (7) days of the due date, we may suspend paid features. We'll email you at least three reminders before any suspension.
4.5 Refunds
Refunds are governed by our Cancellation & Refund Policy. In short: refunds are available within 7 days of a paid term starting if you've used the Service materially less than expected.
5. Your data — ownership and licence
5.1 You own your data
All business data you put into the Service — customers, suppliers, invoices, inventory, rates, ledgers, attachments — is yours. We claim no ownership over it.
5.2 Limited licence to operate the Service
You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, and process your data only as needed to provide and improve the Service for you. We do not sell your data and we don't use it to train third-party AI models.
5.3 Backups and export
We perform automated backups of the Service. You can export your data at any time through the in-app reports and Tally export. On termination, see Section 9.
6. What you can't do
You agree not to:
- Use the Service for anything illegal, including tax evasion or money laundering.
- Resell or sublicense the Service without our written permission.
- Attempt to reverse engineer, decompile, or copy the Service or its source.
- Interfere with the Service, its security, or other users.
- Use the Service to send spam, malware, or unsolicited communications.
- Upload any data you don't have the right to upload.

7. Service availability
We work hard to keep the Service available, but we don't promise it will be available 100% of the time. We may need to take it down for maintenance, upgrades, or in response to a security incident. We'll give reasonable advance notice of planned downtime whenever possible.
Enterprise customers under a written agreement may have a separate Service Level Agreement (SLA). Without such an agreement, the Service is provided "as is" without an uptime guarantee.
8. Suspension and termination by us
We may suspend or terminate your Workspace if:
- You materially breach these Terms or our Acceptable Use Policy.
- Your subscription payment is overdue by more than 30 days.
- We are required to do so by law, court order, or regulator.
- Continuing to provide the Service to you would, in our reasonable judgment, harm us, our infrastructure, or other users.
Where the situation allows, we'll give you notice and an opportunity to fix the issue before terminating.
9. Cancellation by you and what happens to your data
You may cancel your subscription at any time from Settings → Subscription, or by emailing support@aurexerp.com. Cancellation takes effect at the end of your current billing period — you keep access until then.
After cancellation:
- Your Workspace becomes read-only for 30 days, during which you can export data and re-subscribe at any time.
- After 30 days, we may delete your data from our active systems.
- Backups are retained for up to 90 days from cancellation, after which they too are deleted.
- Aurex tax invoices we issued to you are retained for at least 8 years per Indian tax law.
10. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own confidential information, and will not disclose it except to employees, contractors, and advisors who need to know and are bound by confidentiality obligations.
11. Intellectual property
The Service, including all software, design, branding, and documentation, is owned by Avatar Technologies and its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in line with these Terms.
You may not use our trademarks, logos, or product names without our written permission.
12. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
Aurex ERP is a tool. It does not provide legal, tax, accounting, or hallmarking advice. You are responsible for reviewing the output (invoices, reports, exports) before relying on it for compliance, filing, or commercial decisions.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, consequential, special, or punitive damages — including loss of profits, revenue, data, or goodwill — even if advised of the possibility of such damages.
Each party's total aggregate liability arising from or relating to these Terms is limited to the amount you actually paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for fraud or wilful misconduct.
14. Indemnity
You agree to defend, indemnify, and hold harmless Avatar Technologies, its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use of the Service in breach of these Terms or applicable law, or from any data you upload that infringes a third party's rights.
15. Changes to the Service or these Terms
We may improve, change, or remove features over time. We'll try to give reasonable notice of changes that materially reduce functionality you depend on.
We may update these Terms from time to time. If a change is material, we'll notify you by email and/or in-app notice at least 30 days before it takes effect. Continued use after the effective date means you accept the updated Terms.
16. Governing law and dispute resolution
These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Karwar, Karnataka, India.
Before filing any formal proceeding, the parties will try in good faith to resolve the dispute by negotiation. If that fails after 30 days, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996 — single arbitrator, seat at Karwar, Karnataka, in English.
17. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any plan-specific order form, are the entire agreement between you and us about the Service.
- Severability. If any part of these Terms is unenforceable, the rest stays in effect.
- No waiver. A failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger or sale of our business.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We'll send notices to the billing email on your Workspace. You can send notices to legal@aurexerp.com.
